These terms explain how we work together. We provide AI consulting, agentic workflow architecture, and training. You own the specific deliverables we create for you, and we ensure everything is built securely and responsibly. We respect your confidentiality and don't use your data to train external models. If we update these terms, we'll post the new version here.
1. Agreement to Terms
By engaging KorBon AI for consulting or workshops, you agree to these Terms of Service ("Terms"). If you are signing on behalf of an organization, you represent that you have authority to bind that organization.
2. Services & Engagements
- Services. KorBon AI provides AI strategy consulting, agentic system design, implementation support, and education (the "Services").
- SOWs. Specific project details, timelines, and fees will be outlined in a separate Statement of Work (SOW) or Order Form.
- Cooperation. Timely delivery depends on your cooperation, including access to necessary stakeholders and systems.
3. Ownership & Intellectual Property
- Client Deliverables. Upon full payment, you own the custom deliverables (e.g., specific workflow designs, code, docs) created specifically for you.
- KorBon IP. We retain ownership of our pre-existing methodologies, templates, and general implementation patterns.
- Outputs. You own the outputs generated by the AI systems we build or configure for you, subject to the terms of the underlying model providers (e.g., OpenAI, Anthropic).
4. Confidentiality & Data
We treat your business processes, data, and internal systems with strict confidentiality. We do not use your proprietary data to train foundation models. Our Data & Privacy Policy (February 2, 2026) governs how we handle information during an engagement.
5. Acceptable Use
You agree to use our Services and the systems we build for you in compliance with all laws. You will not use AI systems to:
- Violate intellectual property, privacy, or publicity rights.
- Generate unlawful, harmful, or abusive content.
- Circumvent security controls or extract model weights from third-party providers.
6. Fees; Payment
Fees are outlined in your SOW. Late payments may result in suspension of services. Fees are non-refundable once work has commenced or workshops have been delivered.
7. Warranties; Disclaimers
WE PROVIDE THE SERVICES WITH PROFESSIONAL CARE AND SKILL. HOWEVER, GIVEN THE EVOLVING NATURE OF AI, WE DO NOT GUARANTEE SPECIFIC MODEL OUTPUTS OR UNINTERRUPTED PERFORMANCE OF THIRD-PARTY AI SERVICES.
8. Limitation of Liability
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF AN ENGAGEMENT IS LIMITED TO THE TOTAL FEES PAID BY YOU UNDER THE APPLICABLE SOW IN THE 12 MONTHS PRECEDING THE CLAIM.
